Please read these Terms of Use carefully before accessing or using the website or services of States Logistics Service. These terms constitute a binding legal agreement between you and SLS governing your use of our platform.

These Terms of Use ("Terms," "Agreement") govern your access to and use of the website located at stateslogisticsservice.com (the "Site") and all related services, features, and content offered by States Logistics Service ("SLS," "we," "our," or "us"), a freight and logistics company operating throughout the United States. These Terms apply to all visitors, customers, and other users of the Site and our logistics services (collectively, "Users" or "you"). If you do not agree to these Terms, please do not access or use our Site or services.

Acceptance of Terms

By accessing the Site, requesting a quote, placing a shipment order, creating an account, or otherwise using any part of our services, you affirm that you have read, understood, and agree to be bound by these Terms in their entirety, including our Privacy Policy, which is incorporated herein by reference.

Your continued use of the Site following any posted updates or amendments to these Terms constitutes acceptance of those changes. It is your responsibility to periodically review these Terms for updates.

Eligibility

To access or use our Site and services, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
  • Have the legal authority and capacity to enter into a binding agreement on behalf of yourself or the business entity you represent.
  • Not be a person barred from using our services under the laws of the United States or any other applicable jurisdiction.
  • Provide accurate, truthful, and complete information when registering for an account or placing a service request.

If you are accessing or using the Site on behalf of a corporation, partnership, LLC, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in such a case, "you" shall refer to both the individual and the entity.

Our Services

States Logistics Service provides freight brokerage, transportation management, and related logistics solutions within the United States. Our services include, but are not limited to:

Full Truckload (FTL) Dedicated truck transport for large shipments requiring exclusive use of the vehicle.
Less-Than-Truckload (LTL) Shared freight transport for smaller shipments that do not require a full truck.
Expedited Freight Time-critical shipping solutions with priority handling and guaranteed transit times.
Refrigerated Transport Temperature-controlled freight services for perishable and temperature-sensitive cargo.
Freight Brokerage Connecting shippers with qualified, vetted carriers through our licensed brokerage network.
Track & Trace Real-time shipment visibility and status updates via our digital platform.
Warehousing Short and long-term storage solutions integrated with distribution services.

SLS reserves the right to modify, suspend, or discontinue any service or feature at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

Account Registration & Security

Certain features of our Site and services may require you to create a customer account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate and current.
  • Maintain the confidentiality of your login credentials and not share your password with any third party.
  • Immediately notify SLS of any unauthorized use of your account or any other security breach.
  • Accept full responsibility for all activities and transactions that occur under your account, whether or not authorized by you.

SLS reserves the right to suspend or terminate your account at our sole discretion if we suspect fraudulent activity, violation of these Terms, or any conduct that may harm SLS, our clients, or our carriers.

Security Notice: SLS will never ask you for your password via email, phone, or chat. If you receive such a request claiming to be from SLS, do not comply and report it to us immediately at security@stateslogisticsservice.com.

Permitted Use of the Site

Subject to your compliance with these Terms, SLS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and services for your own lawful commercial or personal freight and logistics needs.

You may use the Site to:

  • Request freight quotes and book shipments.
  • Track and manage existing shipments through our track-and-trace system.
  • Access and download documents, invoices, and shipping records related to your own account.
  • Communicate with SLS representatives for support, inquiries, and dispute resolution.
  • Review information about our services, policies, and company.

Prohibited Conduct

You agree that you will NOT use the Site or services for any unlawful, harmful, or unauthorized purpose. The following activities are strictly prohibited:

  • Submitting false, misleading, or fraudulent shipment information, including misdeclaration of cargo weight, value, or contents.
  • Tendering illegal, hazardous, prohibited, or undeclared materials for shipment, including controlled substances, weapons, or materials banned under U.S. federal or state law.
  • Attempting to gain unauthorized access to any part of the Site, our servers, databases, or other systems connected to the Site.
  • Using automated tools, bots, scrapers, or spiders to extract data from the Site without our prior written permission.
  • Interfering with or disrupting the integrity, performance, or security of the Site or its related services.
  • Impersonating SLS, our employees, partners, carriers, or any other person or entity.
  • Using our Site or services to engage in any form of harassment, abuse, or discrimination against any person.
  • Reverse engineering, decompiling, or otherwise attempting to derive the source code of any software used to operate the Site.
  • Reproducing, redistributing, or commercially exploiting any content from the Site without express written authorization from SLS.
  • Using the Site in any manner that violates applicable local, state, federal, or international laws and regulations.
Enforcement: Violation of these prohibitions may result in immediate account termination, denial of service, and/or referral to appropriate law enforcement authorities. SLS reserves the right to pursue all available legal remedies.

Shipment Terms & Conditions

All freight and logistics services provided by SLS are subject to the following terms and conditions in addition to any separate rate agreement or bill of lading executed between the parties.

  • Cargo Description Accuracy: You are responsible for providing a complete, accurate, and lawful description of all cargo, including commodity type, weight, dimensions, hazmat classification (if applicable), and declared value. Inaccurate cargo descriptions may result in additional charges, service refusal, or legal liability.
  • Prohibited Items: SLS does not transport illegal substances, weapons, currency, live animals (unless pre-approved), human remains, or any items restricted under federal or state law without prior written authorization.
  • Pickup & Delivery: Transit times are estimates and not guaranteed unless an expedited or guaranteed delivery service is explicitly selected and confirmed. SLS shall not be liable for delays caused by weather, traffic, regulatory inspections, or circumstances beyond our reasonable control (force majeure).
  • Cargo Liability: Standard cargo liability is subject to the terms of the applicable bill of lading and SLS's published tariff. Liability is limited unless additional cargo insurance coverage is purchased and confirmed in writing prior to shipment.
  • Claims: Freight claims for loss or damage must be filed in writing within 9 months of the delivery date (or reasonable expected delivery date in case of non-delivery) as required under the Carmack Amendment (49 U.S.C. § 14706). Failure to file within this period may bar your claim.
  • Regulatory Compliance: You agree to comply with all applicable regulations governing the shipment of freight, including DOT, EPA, and state regulations. SLS is not liable for consequences arising from your non-compliance.

Payments, Billing & Cancellations

All services rendered by SLS are subject to the applicable rates, fees, and payment terms agreed upon at the time of booking or as set forth in your service agreement.

  • Payment Methods: We accept major credit cards, ACH bank transfers, and other payment methods as indicated during checkout. All payments must be made in U.S. dollars (USD).
  • Invoicing: Invoices are issued upon completion of services unless otherwise agreed in a signed service agreement. Payment is due within the net terms specified on the invoice (typically Net 30 unless otherwise stated).
  • Accessorial Charges: Additional charges may apply for services not included in the original quote, including but not limited to: liftgate service, residential delivery, inside pickup/delivery, detention, re-delivery, or storage. You will be notified of such charges prior to or upon service completion.
  • Late Payments: Overdue balances are subject to a late fee of 1.5% per month (or the maximum rate permitted by applicable law) on the unpaid balance. SLS reserves the right to suspend services for accounts with overdue balances.
  • Cancellations: Shipment cancellations must be submitted in writing. Cancellation fees may apply depending on the stage of transport at which cancellation occurs. No refund is available once a carrier has been dispatched and cargo has been picked up.
  • Disputes: Any billing disputes must be submitted in writing within 30 days of the invoice date. Failure to dispute within this period constitutes acceptance of the charges.

Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software — is the property of States Logistics Service or its content suppliers and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

  • Copyright: The Site and all original content are protected by copyright. You may not reproduce, distribute, transmit, display, publish, or create derivative works from any Site content without our prior written consent.
  • Trademarks: "States Logistics Service," the SLS logo, and all related marks are trademarks of SLS. You may not use our trademarks without our prior written permission.
  • User Content: By submitting any content to us (such as reviews, feedback, or data), you grant SLS a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and publish that content in connection with our business operations.
  • Limited License: Nothing in these Terms grants you any license or right to use any intellectual property of SLS beyond the limited right to access and use the Site as described herein.

Disclaimers & Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

  • SLS does not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  • SLS does not warrant the accuracy, completeness, or timeliness of any information on the Site, including transit time estimates and tracking data.
  • SLS expressly disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Third-party carrier performance is not within SLS's direct control when acting as a freight broker. SLS makes no guarantee as to the performance of any third-party carrier.
Some jurisdictions do not allow the exclusion of implied warranties. In such cases, the above exclusions may not apply to you in full, and you may have additional rights.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SLS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CARRIERS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.

Cargo Loss/Damage

Liability for cargo loss or damage is limited to the declared value or the applicable tariff rate, whichever is lower, unless additional insurance is purchased.

Delay Liability

SLS is not liable for damages arising from transit delays, whether caused by weather, traffic, force majeure events, regulatory inspections, or other circumstances.

Platform Downtime

SLS shall not be liable for losses resulting from website outages, system maintenance, data errors, or interruptions in our digital tracking services.

Third-Party Acts

SLS is not liable for acts or omissions of third-party carriers, vendors, or service providers engaged in connection with your shipment.

IN NO EVENT SHALL SLS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO SLS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00).

Indemnification

You agree to defend, indemnify, and hold harmless States Logistics Service and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, carriers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Site or services.
  • Your violation of any of these Terms or any applicable law or regulation.
  • Any inaccuracy or misrepresentation in the shipment information or documentation you provide.
  • Your infringement of any intellectual property or other rights of any person or entity.
  • The tendering of prohibited, undeclared, or mislabeled cargo that causes damage, injury, or regulatory penalties.
  • Any claim by a third party arising from your use of our services in a manner not authorized by these Terms.

SLS reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with SLS's defense of any such claims.

Dispute Resolution & Arbitration

SLS encourages you to contact us first to resolve any concerns informally. If an informal resolution cannot be reached, disputes shall be resolved as follows:

  • Informal Resolution: Before filing a formal dispute, you agree to first contact SLS at legal@stateslogisticsservice.com and allow us 30 days to attempt to resolve the matter informally.
  • Binding Arbitration: If the dispute is not resolved informally, it shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the seat shall be in the United States.
  • Class Action Waiver: YOU AGREE THAT DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION against SLS.
  • Exceptions: Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm while arbitration proceeds.
Freight Claims: Specific claims related to cargo loss, damage, or delay are governed by the Carmack Amendment (49 U.S.C. § 14706) and applicable federal transportation law, which may supersede the arbitration provision above for qualifying claims.

Termination

SLS reserves the right to suspend or terminate your access to the Site and services, with or without cause and with or without prior notice, at our sole discretion. Grounds for termination include, without limitation:

  • Violation of any provision of these Terms.
  • Fraudulent activity or misrepresentation in shipment documentation or billing.
  • Non-payment of outstanding invoices after a reasonable notice period.
  • Conduct that is harmful to SLS, our carriers, clients, or employees.
  • Requests or court orders from law enforcement or government authorities.

Upon termination, your right to access and use the Site and services shall immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, indemnification, limitation of liability, and dispute resolution — shall remain in effect.

You may terminate your account at any time by contacting us at support@stateslogisticsservice.com. Termination of your account does not relieve you of any outstanding payment obligations.

Governing Law

These Terms of Use and any disputes arising out of or relating to them or our services shall be governed by and construed in accordance with the laws of the United States of America and the state in which States Logistics Service is incorporated, without regard to its conflict of law principles.

To the extent that any dispute is not subject to arbitration under Section 13, you agree to submit to the exclusive personal jurisdiction of the federal and state courts located in SLS's state of incorporation for the resolution of such disputes.

Modifications to These Terms

SLS reserves the right to revise, update, or replace these Terms of Use at any time in our sole discretion. We will notify you of material changes by:

  • Posting a prominent notice on our homepage or this Terms page indicating the nature of the change.
  • Sending an email notification to the address on file for your account (if you have registered).
  • Displaying a banner or modal on the Site prompting you to review and acknowledge the updated Terms.

Your continued use of the Site or services after any such changes take effect constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Site and cancel any pending service requests.
